Glass Lewis backs MicroVision shareholder proposals ahead of July meeting

MicroVision, Inc. (NASDAQ: MVIS) announced that proxy advisory firm Glass Lewis & Co. has recommended shareholders vote in favor of all company proposals at its Annual Meeting of Shareholders, scheduled for July 10, 2026.
Shareholders will be asked to vote on several items, including the election of seven director nominees, approval of share issuance under existing convertible notes to allow debt repayment in equity rather than cash, and amendments to the company's certificate of incorporation authorizing a reverse stock split at a ratio between 1-for-5 and 1-for-15. The proposed amendments would also reduce MicroVision's authorized shares of common stock from 510 million to 150 million. Additional agenda items include an advisory vote on executive compensation and ratification of auditors for the current fiscal year.
Robert Carlile, Chairman of the Board, said in a statement: "We are pleased that Glass Lewis supports the Board's recommended proposals, in particular, they agree that a vote to give the Board discretion to do a reverse stock split is in the best interest of the Company and shareholders."
Glass Lewis is an independent proxy advisory firm that covers more than 30,000 shareholder meetings annually across more than 100 global markets. Its clients include pension plans, mutual funds, and asset managers that collectively manage over $40 trillion in assets.
The annual meeting will be held virtually at 9:00 a.m. PT. According to the press release, shareholders can vote in advance using the company's proxy materials.
