Nasdaq moves to delist QMMM Holdings over filing delays

QMMM Holdings Limited (NASDAQ: QMMM), a Hong Kong-based digital media advertising and virtual technology company, announced it received a Staff Delisting Determination from Nasdaq's Listing Qualifications Department on June 17, 2026.



Nasdaq cited its discretionary authority under Listing Rule IM-5101-4 as the basis for the delisting decision. The exchange also identified the company's delay in filing its Form 20-F annual report for the fiscal year ended September 30, 2025, as an independent basis for delisting under Listing Rule 5250(c)(1).



The company said it intends to appeal the determination by requesting an oral hearing before the Nasdaq Hearings Panel under Listing Rule 5815. Under Rule 5815(a)(1)(B), a hearing request related to a delinquent filing will stay the suspension of the company's securities for only 15 days from the hearing request deadline, unless the Hearings Panel grants a further stay.



A trading halt on the company's securities under Rule 4120(a)(5) will remain in place during any automatic or Panel-granted stay period.



QMMM said it plans to submit a written compliance plan to the Hearings Panel and request a limited exception to listing standards under Rule 5815(c)(1)(A). The company acknowledged there is no assurance the Panel will approve the plan or grant the requested exception.
