AMC Entertainment prices $200M stock offering to redeem senior notes

AMC Entertainment Holdings (NYSE: AMC) has entered into a definitive agreement with institutional investors to sell 95,250,000 shares of common stock in a registered direct offering, with expected gross proceeds of approximately $200 million before agent fees and expenses.
The company said it intends to use the net proceeds primarily to redeem all $125.5 million in aggregate principal of its 6.125% Senior Subordinated Notes due 2027, along with related fees, costs, premiums, and expenses. Any remaining proceeds are designated for general corporate purposes, which may include repayment of other debt and strengthening cash reserves.
The offering is expected to close on June 24, 2026, subject to customary closing conditions. Roth Capital Partners is acting as the sole placement agent.
The shares are being offered pursuant to a shelf registration statement on Form S-3 originally filed with the Securities and Exchange Commission on February 9, 2026.
