CNH Industrial Capital prices $600 million in notes due 2031

CNH Industrial N.V. (NYSE: CNH) announced that its wholly owned subsidiary, CNH Industrial Capital LLC, has priced $600 million in aggregate principal amount of 4.950% notes due 2031, at an issue price of 99.615%.
The offering is expected to close on June 25, 2026, subject to customary closing conditions. The notes will mature on June 25, 2031, and will pay interest semi-annually on June 25 and December 25 of each year, beginning December 25, 2026.
The notes are senior unsecured obligations of CNH Industrial Capital LLC and will be guaranteed by CNH Industrial Capital America LLC and New Holland Credit Company, LLC, each a wholly owned subsidiary of CNH Industrial Capital LLC.
CNH Industrial Capital LLC intends to add the net proceeds to its general funds for working capital and other general corporate purposes, including the purchase of receivables or other assets in the ordinary course of business. The net proceeds may also be used to repay existing indebtedness as it becomes due.
BofA Securities, Deutsche Bank Securities, Goldman Sachs & Co. and Santander US Capital Markets are acting as joint book-running managers and representatives of the underwriters. Intesa Sanpaolo IMI Securities, Mizuho Securities USA, UniCredit Capital Markets, and Wells Fargo Securities are also acting as joint book-running managers.
The offering is being made pursuant to a shelf registration statement filed with the U.S. Securities and Exchange Commission on March 12, 2025.
