BuzzFeed sells shares to Byron Allen affiliate for $5.8 million

BuzzFeed, Inc. (NASDAQ: BZFD) entered into a Share Purchase Agreement with Allen Family Digital, LLC, an affiliate of Byron Allen's family office, on June 17, 2026.
Under the agreement, Allen Family Digital agreed to purchase 4,000,000 shares of BuzzFeed's Class A common stock at $1.44 per share, a price equal to the closing price on June 15, 2026, as reported by the Nasdaq Stock Market. The shares consisted of 2,173,155 newly issued shares and 1,826,845 treasury shares. BuzzFeed received aggregate proceeds of approximately $5.8 million.
On the same date, BuzzFeed entered into a second Share Purchase Agreement with certain individual purchasers to sell an additional 216,999 shares of Class A common stock, also at $1.44 per share.
Both agreements were approved by the company's board of directors, according to a company statement.
