Deep Fission raises $40M in public offering on Nasdaq

Deep Fission, Inc. (Nasdaq: FISN), a nuclear energy company developing small modular pressurized water reactors installed one mile underground, announced the closing of a public offering of 2,500,000 shares of common stock at $16.00 per share, generating $40 million in gross proceeds before underwriting discounts, commissions, and other expenses.
The company's shares began trading on the Nasdaq Global Market under the ticker "FISN" on June 18, 2026.
Deep Fission has also granted underwriters a 30-day option to purchase up to an additional 375,000 shares at the initial offering price, less underwriting discounts and commissions.
According to the press release, the company intends to use net proceeds for general working capital and corporate purposes, including engineering, research and development, licensing, and construction of its first pilot nuclear reactor and related technologies.
Benchmark, a StoneX Company, and Seaport Global Securities served as joint lead book-running managers for the offering, with Maxim Group LLC acting as co-manager.
Deep Fission is currently developing its first reactor project in Parsons, Kansas, and was selected for the Department of Energy's Reactor Pilot Program.
