Sharplink prices $75M stock offering at 41% premium to last close

Sharplink, Inc. (Nasdaq: SBET) announced the pricing of a $75 million registered direct offering, selling shares at a 41% premium to its most recent closing price, according to a press release from the company.
The Miami-based company entered into a securities purchase agreement with a single institutional investor for 10,013,351 shares of common stock and accompanying warrants to purchase up to an equal number of shares, at a combined purchase price of $7.49 per share and warrant. The price compares to Sharplink's closing share price of $5.29 on June 18, 2026, on the Nasdaq Capital Market.
The warrants carry an exercise price of $8.15 per share, are exercisable immediately upon issuance, and expire four years from the date of issuance.
The offering's closing is expected on or about June 23, 2026, subject to customary closing conditions. Gross proceeds are expected to be approximately $75 million before placement agent fees and other expenses.
Sharplink said it intends to use net proceeds for working capital and general corporate purposes, including the purchase of additional Ether (ETH) and stock repurchases under its existing repurchase program. The company reported holdings of 875,776 ETH as of June 16, 2026.
A.G.P./Alliance Global Partners is acting as sole placement agent for the offering. Thompson Hine LLP is serving as legal advisor to Sharplink, and Sullivan & Worcester LLP is advising A.G.P./Alliance Global Partners.
The offering is being made pursuant to a shelf registration statement on Form S-3ASR declared effective by the U.S. Securities and Exchange Commission on May 30, 2025.
