InterCure raises NIS 22M in private placement at a share premium
InterCure Ltd. (Nasdaq: INCR, TASE: INCR), also known as Canndoc, has entered into a binding term sheet for a private placement raising NIS 22 million (approximately $7.4 million), with the potential to increase to NIS 54 million (approximately $18.6 million) if associated warrants are fully exercised.
The placement includes investment commitments from the company's Chief Executive Officer, Alexander Rabinovich, and institutional investors including Bennu Pharma Fund Ltd. Under the terms, InterCure will issue 7,895,143 ordinary shares at NIS 2.75 (approximately $0.94) per share, a modest premium to the June 17, 2026 closing price of NIS 2.69 on the Tel Aviv Stock Exchange.
Investors will also receive warrants to purchase up to an additional 7,895,143 ordinary shares at NIS 4.125 (approximately $1.41) per share, representing roughly a 53% premium over the same reference closing price. The warrants are exercisable for five years from the date of issuance.
The private placement is subject to the completion of definitive documentation and certain closing conditions. Rabinovich's participation requires approval from InterCure's shareholders.
The company stated proceeds would be directed toward the recovery and expansion of its Nir Oz facility, meeting demand in Israel and international markets, and expansion into Germany and other regulated medical cannabis markets.
The securities have not been registered under the U.S. Securities Act of 1933 and may not be sold in the United States absent registration or an applicable exemption.
