Momentus files ATM offering of up to $75M in common stock

Momentus Inc. (NASDAQ: MNTS) has entered into a sales agreement with A.G.P./Alliance Global Partners to sell up to $75,000,000 in shares of its Class A common stock through an at-the-market offering.
The agreement, dated September 19, 2025, designates A.G.P. as the sales agent. Shares will be sold from time to time at prevailing market prices under Rule 415(a)(4) of the Securities Act of 1933. A.G.P. will receive a fixed commission of 3.0% of gross proceeds from each sale.
A.G.P. is not required to sell any specific amount of shares and will act on a commercially reasonable efforts basis. No escrow or trust arrangement has been established for the funds. Under the terms of the agreement, A.G.P. will be considered an underwriter as defined by the Securities Act. Momentus has agreed to provide indemnification to A.G.P. for certain liabilities under both the Securities Act and the Securities Exchange Act of 1934.
