Epsilon Energy launches $15M at-the-market share offering

Epsilon Energy Ltd. (NASDAQ: EPSN) has entered into a sales agreement with Roth Capital Partners, LLC to sell up to $15,000,000 worth of common shares through an at-the-market offering program, according to a prospectus supplement.
The agreement, dated June 18, 2026, allows Epsilon Energy to offer and sell common shares from time to time through or to Roth Capital Partners acting as sales agent or principal. Sales will be conducted as "at-the-market offerings" as defined under Rule 415 of the Securities Act of 1933.
Roth Capital Partners is not obligated to sell any specific number or dollar amount of shares, but will act on a commercially reasonable efforts basis. No escrow or trust arrangement has been established for the proceeds.
Epsilon Energy will pay Roth Capital Partners a commission of up to 3% of the gross sales price per share sold under the agreement. Roth Capital Partners will be considered an underwriter under the Securities Act, and its compensation will be treated as underwriting commissions or discounts. Epsilon Energy has also agreed to provide indemnification to the sales agent for certain liabilities, including those arising under the Securities Act.
