Genco Shipping & Trading Limited (NYSE: GNK) announced on June 18, 2026, that shareholders voted to re-elect all six director nominees at its 2026 annual meeting, based on preliminary results.
The six re-elected directors are Paramita Das, Kathleen C. Haines, Basil G. Mavroleon, Karin Y. Orsel, Arthur L. Regan, and John C. Wobensmith. According to preliminary results provided by Genco's proxy solicitor, an average of nearly 90% of shares, excluding those held by Diana Shipping Inc., were voted in favor of each director.
Shareholders also approved the company's equity incentive plan and ratified its shareholder rights agreement, while voting against proposals put forward by Diana Shipping.
The company's board said it is reviewing a revised non-binding proposal received from Diana Shipping on June 17, 2026, in consultation with financial and legal advisors. Jefferies LLC is serving as financial advisor to Genco, while Herbert Smith Freehills Kramer (US) LLP and Sidley Austin LLP are acting as legal counsel. Morgan Stanley & Co. LLC is serving as special advisor to the board.
The announced results are preliminary pending tabulation and certification by an independent Inspector of Elections. Genco said it will report final voting results in a Form 8-K filing with the Securities and Exchange Commission.
