Janus Henderson take-private deal set to close June 30

Janus Henderson Group plc (NYSE: JHG) announced it has received the regulatory approvals and client consents required to complete its take-private transaction with Trian Fund Management, L.P. and General Catalyst Group Management, LLC.
The transaction is expected to close on June 30, 2026, subject to the continued satisfaction of all closing conditions under the definitive agreement, which was originally dated December 21, 2025.
Under the terms of the agreement, Janus Henderson shareholders not already affiliated with Trian will receive $52.00 per share in cash. Upon closing, Janus Henderson will become a privately held company and its ordinary shares will be delisted from the NYSE.
The announcement follows shareholder approval of the transaction, which was previously reported. According to a press release from the company, the receipt of regulatory approvals and client consents represents a milestone toward completing the deal.
As of March 31, 2026, Janus Henderson reported approximately $480 billion in assets under management and employed more than 2,000 people across offices in 26 cities worldwide.
