MagnaChip sets up $50M at-the-market stock offering with B. Riley

MagnaChip Semiconductor Corporation (NYSE: MX) has entered into an At Market Issuance Sales Agreement with B. Riley Securities, Inc., allowing the company to sell up to $50 million in common stock over time.
The agreement, signed June 17, 2026, designates B. Riley Securities as sales agent or principal for the share sales. Each share carries a par value of $0.01.
The company stated it intends to use net proceeds for general corporate purposes, which may include investments in strategic growth initiatives and technologies supporting AI data centers and robotics.
The offering is registered under a shelf registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission on June 12, 2026, which became effective June 16, 2026. A related prospectus supplement was filed with the SEC on June 17, 2026.
MagnaChip is not obligated to sell any shares under the agreement. B. Riley Securities has agreed to use commercially reasonable efforts to sell shares in accordance with the company's instructions, including any price, time, or size limits imposed by the company. Either party may terminate the agreement at any time upon written notice.
