Scilex sets June 15 payment date for Semnur stock dividend

Scilex Holding Company (NASDAQ: SCLX) announced June 15, 2026 as the payment date for its previously announced dividend of Semnur Pharmaceuticals Inc. (OTC: SMNR) common stock to eligible shareholders.

Shareholders who held Scilex securities as of the June 1, 2026 record date will receive one share of Semnur common stock for each share of Scilex common stock held. Scilex plans to distribute approximately 14.0 million shares from its holding of approximately 186 million Semnur shares.

The company's board of directors retains the authority to change the record date and payment date or revoke the dividend prior to the payment date. The dividend payment is subject to the board not revoking it, including for material changes to solvency or surplus analysis.

Nasdaq will determine the ex-dividend date according to its rules. The dividend applies to holders of Scilex common stock and certain other eligible equity securities.

Scilex focuses on acquiring, developing and commercializing non-opioid pain management products. The company's commercial products include ZTlido for neuropathic pain, ELYXYB for migraine treatment, and Gloperba for gout prevention.

Semnur is a clinical-stage specialty pharmaceutical company developing non-opioid pain therapies. Its lead product candidate SP-102 is a gel formulation for epidural administration in patients with chronic radicular pain.
