ICON receives Nasdaq deficiency notice for late annual report filing

ICON plc (NASDAQ: ICLR) announced it received a deficiency notice from Nasdaq for failing to file its Annual Report on Form 20-F for the year ended December 31, 2025, according to a company statement.
The Dublin-based clinical research organization said the notice indicates non-compliance with Nasdaq Listing Rule 5250(c)(1), which requires timely filing of periodic financial reports with the U.S. Securities and Exchange Commission.
The notice does not immediately affect the listing or trading of ICON's securities. Nasdaq provided the company with 60 calendar days from the notice date to submit a compliance plan.
ICON said it expects to regain compliance upon filing the Form 20-F, which it anticipates completing before its scheduled earnings conference call. The company will release fourth quarter and full year 2025 financial results after market close on May 27, 2026, followed by a conference call on May 28, 2026 at 8:00 a.m. ET.
The company operates as a clinical research organization providing consulting, clinical development, and commercialization services to pharmaceutical, biotechnology, medical device, and government organizations. ICON employed approximately 40,100 people across 97 locations in 55 countries as of December 31, 2025.
