Empro Group receives Nasdaq delinquency notice over late annual filing

Empro Group Inc. (NASDAQ: EMPG) received a delinquency notification from Nasdaq on May 19 for failing to comply with listing requirements due to not filing its annual report on Form 20-F for the fiscal year ended December 31, 2025.

The Malaysia-based beauty and personal care company has not met Nasdaq Listing Rule 5250(c)(1), according to the notice. Under Nasdaq regulations, Empro Group has 60 calendar days to submit a compliance plan. If accepted, the company may receive an extension of up to 180 calendar days from the original filing deadline, or until November 11, 2026, to regain compliance.

The company stated it is working with accounting, audit and legal professionals to prepare the Form 20-F filing and submit a compliance plan to Nasdaq. Trading of Empro Group's ordinary shares on Nasdaq has been suspended since October 9, 2025, and remains unaffected by this delinquency notice.

If Nasdaq does not accept the compliance plan, Empro Group will have the opportunity to appeal the decision to a Hearings Panel. The company operates in cosmetics, skincare, and healthcare segments across Southeast Asia and Europe.
