Ameron International Corp./National Oilwell Varco
On July 5, 2011, Ameron International Corporation (NYSE: AMN) announced that it entered into an agreement to be acquired by National Oilwell Varco (NYSE: NOV) for $85 per share in cash, or approximately $772 million.
The deal comes at a 28 percent premium to Ameron's Friday's close.
The boards of both companies have unanimously approved the transaction, which could close as early as the 4th quarter of 2011.
Ameron is a multinational manufacturer of highly-engineered products and materials for the chemical, industrial, energy, transportation and infrastructure markets. They are the leading fiberglass pipe provider for transporting oil, chemicals and corrosive fluids, and specialized materials and products used in infrastructure projects.
Ameron's exclusive financial advisor on the transaction is Bank of America Merrill Lynch; its lead legal advisor is Gibson Dunn and Crutcher.
