Xiao-I plans 1-for-7 reverse ADS split effective September 8
Xiao-I Corporation (NASDAQ: AIXI) announced plans to change the ratio of its American Depositary Shares to ordinary shares, effectively creating a one-for-seven reverse ADS split, according to a press release from the Shanghai-based company.
The ADS ratio will shift from one ADS representing 60 ordinary shares to one ADS representing 420 ordinary shares. The change is expected to take effect on or about September 8, 2026, U.S. Eastern Time.
Holders of uncertificated ADSs through The Depository Trust Company will have their ADSs automatically exchanged on the effective date, with every seven existing ADSs converted into one new ADS. Citibank, N.A. will serve as the depositary bank for the transaction. The company's ADSs will continue trading on the Nasdaq Stock Market under the ticker symbol "AIXI."
No fractional new ADSs will be issued. Fractional entitlements will be aggregated, sold by the depositary, and net cash proceeds distributed to applicable ADS holders after deduction of fees, taxes, and expenses.
The change will not affect the company's underlying ordinary shares, and no ordinary shares will be issued or cancelled as a result. The ADS trading price is expected to increase proportionally following the ratio change, though the company provided no assurance that the post-change price would equal or exceed seven times the pre-change price.
