X3 Holdings implements 30-to-1 share consolidation
X3 Holdings Co., Ltd. (NASDAQ: XTKG) announced its board of directors approved a consolidation of Class A ordinary shares on a thirty-to-one basis, according to a company statement.
The consolidation will automatically combine every 30 pre-consolidation Class A shares into one Class A share without requiring action from shareholders. The par value per Class A share will change from $0.00003 to $0.0009. The company's issued and outstanding Class A shares will be reduced from 54,238,270 to approximately 1,807,943.
Class A shares are expected to begin trading on a post-consolidation basis on March 5, 2026, on the Nasdaq Capital Market under the symbol "XTKG" with a new CUSIP number G72007159.
The company stated the share consolidation is intended to increase the market price per share of Class A shares to maintain its Nasdaq listing.
Shareholders who hold a number of Class A shares not evenly divisible by thirty will automatically receive an additional share rather than a fractional share. Transhare Corporation will serve as the exchange agent for the consolidation.
As of February 25, 2025, the company had 54,238,270 Class A ordinary shares outstanding and 7,902,031 Class B ordinary shares outstanding.
X3 Holdings operates across digital technologies, cryptomining operations, renewable energy and agriculture technologies. The Singapore-based company maintains subsidiaries and operations globally.
