OFA Group announces 1-for-10 reverse stock split effective July 31
OFA Group (NASDAQ: OFAL) announced a 1-for-10 consolidation of its Class A ordinary shares, effective 12:01 a.m. Eastern Time on July 31, 2026.
Under the consolidation, every 10 issued Class A ordinary shares will be combined into one share, reducing the number of issued and outstanding Class A ordinary shares from 26,370,521 to approximately 2,637,052, subject to rounding for fractional shares. No fractional shares will be issued; any fractional share resulting from the consolidation will be rounded down to the nearest whole share.
The shares will begin trading on a split-adjusted basis on the Nasdaq Capital Market at the open of trading on July 31, 2026, under the existing ticker symbol "OFAL" with a new CUSIP number, G6713S114.
The consolidation was approved by shareholders at an extraordinary general meeting held on May 21, 2026. The company's Class B ordinary shares are not affected.
Proportionate adjustments will be made to the number of Class A ordinary shares underlying outstanding options, warrants, and convertible securities, as well as to the number of shares reserved under the company's equity incentive plans.
Shareholders holding shares in book-entry form or through a bank, broker, or other nominee do not need to take any action, as positions will be automatically adjusted.
