NIP Group ADS ratio changes to 1:60, effective July 6, 2026

NIP Group Inc. (NASDAQ: NIPG) announced that its American depositary share ratio change will take effect on July 6, 2026, adjusting from one ADS representing two Class A ordinary shares to one ADS representing 60 Class A ordinary shares.

The change will have the same effect as a one-for-thirty reverse ADS split for existing holders. The company's Class A ordinary shares will not be affected by the adjustment.

ADS holders in the Direct Registration System and in The Depository Trust Company will have their holdings automatically exchanged on the effective date, with every 30 existing ADSs converted into one new ADS. Citibank, N.A., the depositary bank, will cancel existing ADSs and issue new ones. No action is required from holders.

The ADSs are expected to begin trading on the Nasdaq Stock Market on a post-reverse split basis under the same ticker symbol "NIPG" at market open on July 6. The new CUSIP number will be 654503200.

No fractional new ADSs will be issued. Fractional entitlements will be aggregated and sold by the depositary, with net cash proceeds distributed to applicable holders after deductions outlined in the deposit agreement.

The company noted that the ADS trading price is expected to increase proportionally following the change, though it offered no assurance that the post-change price would equal or exceed 30 times the pre-change price.
