Lucas GC implements 40-to-1 share consolidation and dual-class structure
Lucas GC Limited (NASDAQ: LGCL) will implement a 40-to-1 share consolidation and adopt a dual-class share structure on October 13, 2025, according to a company statement.
The AI technology-driven Platform-as-a-Service company received shareholder approval for the changes at an extraordinary general meeting on May 5, 2025. Under the share consolidation, every 40 authorized shares with a par value of $0.000005 will be consolidated into one share with a par value of $0.0002.
Following the consolidation, the company's authorized share capital will consist of $50,000 divided into 235 million Class A ordinary shares and 15 million Class B ordinary shares, each with a par value of $0.0002. The company amended its memorandum and articles of association to reflect these structural changes.
Beginning October 13, 2025, Lucas GC's Class A ordinary shares will trade on the Nasdaq Capital Market under a new CUSIP number G57037114. The company's transfer agent, Vstock Transfer LLC, will serve as the exchange agent for the consolidation process.
Shareholders holding shares in book-entry form or through brokers will not need to take any action, as positions will be automatically adjusted. The consolidation will not alter shareholders' percentage interest in the company's equity. Fractional share entitlements will be rounded up to the nearest whole share.
Lucas GC operates an AI technology platform with over 780,320 agents and holds 19 granted U.S. and Chinese patents along with more than 75 registered software copyrights. The company applies its technologies to human resources and insurance industry sectors.
