Jianzhi Education to change ADS ratio in 1-for-30 reverse split

Jianzhi Education Technology Group Company Limited (NASDAQ: JZ) announced a change to its American Depositary Share ratio, effective at the start of trading on July 6, 2026.

The company will shift its ADS ratio from one ADS representing 60 class A ordinary shares to one ADS representing 1,800 class A ordinary shares. For existing ADS holders, the change will function as a one-for-30 reverse ADS split, requiring holders to exchange every 30 existing ADSs for one new ADS.

The Bank of New York Mellon, the depositary bank for Jianzhi's ADSs, will manage the exchange process. As a result of the change, the total number of outstanding ADSs will be reduced from 32,090,832 to approximately 1,069,695.

Jianzhi's ADSs will continue trading on the Nasdaq Stock Exchange under the ticker symbol "JZ," with a new CUSIP number 47737L401 assigned following the ratio change.

No fractional new ADSs will be issued. Fractional entitlements will be aggregated and sold by the depositary bank, with net cash proceeds distributed to applicable ADS holders after fees, taxes, and expenses. The ratio change will not affect Jianzhi's underlying ordinary shares, and no ordinary shares will be issued or canceled.

The company noted that the ADS trading price is expected to increase proportionally following the change, though it offered no assurance that the post-change price would equal or exceed a proportional increase relative to the pre-change price.
