Cheer Holding announces 1-for-50 share consolidation effective Dec 22

Cheer Holding, Inc. (NASDAQ: CHR) announced a share consolidation of its Class A ordinary shares at a ratio of 1 post-split share for every 50 pre-split shares. The consolidation becomes effective at 4:05 p.m. New York time on December 22, 2025.

The company's shares will continue trading on the Nasdaq Capital Market under the symbol "CHR" and begin trading on a post-consolidation basis when the market opens on December 23, 2025. The new CUSIP number will be G29973121.

The consolidation will reduce the number of outstanding Class A ordinary shares from 234,309,902 to approximately 4,686,199, subject to rounding adjustments. Outstanding warrants and other equity rights will be proportionally adjusted. No fractional shares will be issued, with any fractional amounts rounded up to the next whole number.

Following the consolidation, the company's authorized share capital will be $500,700, divided into 10 million Class A ordinary shares with a par value of $0.05 each, 500,000 Class B ordinary shares with a par value of $0.001 each, and 2 million preferred shares with a par value of $0.0001 each.

The consolidation aims to increase the company's per-share trading price to maintain its Nasdaq listing. On November 19, 2025, Cheer Holding received a delisting notification from Nasdaq after its stock closed at $0.10 or below for ten consecutive trading days. The company has appealed the decision and has a hearing scheduled for January 13, 2026.

Shareholders holding shares in book-entry form or through brokers will have their holdings automatically adjusted. The Beijing-based company provides mobile internet infrastructure and platform services.
