BiomX announces 1-for-10 reverse stock split effective Sept. 9

BiomX Inc. (NYSE American: PHGE) announced a 1-for-10 reverse stock split of its common stock, set to take effect at 12:01 a.m. Eastern Time on September 9, 2026.

The reverse stock split was approved by stockholders at a special meeting held on August 25, 2026, authorizing a split ratio between 1-for-5 and 1-for-20. On August 28, 2026, the company's board of directors unanimously fixed the ratio at 1-for-10.

The split will reduce outstanding shares from approximately 26.7 million to approximately 2.7 million. The number of authorized shares of common stock will also be reduced from 750,000,000 to 150,000,000. The par value per share of $0.0001 will remain unchanged.

BiomX expects to file a Certificate of Amendment to its Amended and Restated Certificate of Incorporation with the Delaware Secretary of State. The common stock is expected to begin trading on a split-adjusted basis on NYSE American when the market opens on September 9, 2026, under the new CUSIP number 09090D 608.

No fractional shares will be issued; stockholders who would otherwise receive a fractional share will have their holdings rounded up to the next whole share. Proportionate adjustments will be made to outstanding warrants, convertible instruments, and equity awards. Continental Stock Transfer & Trust Company is serving as exchange agent for the transaction.
