October 16, 2026 4:30 PM EDT

BUUU Group Limited (NASDAQ: BUUU) announced that its board of directors approved a 10-for-1 forward split of the company's ordinary shares, with Class A ordinary shares expected to begin trading on a split-adjusted basis on the Nasdaq Capital Market at market open on October 26, 2026, under the existing ticker symbol "BUUU."

The split will subdivide each issued and unissued Class A and Class B ordinary share into ten shares of the same class. The company's authorized share count will increase proportionately from 500,000,000 to 5,000,000,000 shares, divided equally between Class A and Class B ordinary shares. The new CUSIP number for Class A ordinary shares following the split will be G1739L110.

Shareholder ownership percentages and voting rights will remain unchanged. Class A shares will retain one vote per share and Class B shares will retain twenty votes per share. No fractional shares will result from the split. Proportionate adjustments will be made to outstanding warrants and other convertible securities.

Shareholders holding shares through brokers or nominees will have their positions automatically adjusted. Registered shareholders holding physical certificates will need to submit a letter of transmittal to the company's transfer agent, VStock Transfer, LLC, to exchange certificates for book-entry shares.

The board approved the split on September 28, 2026. The action follows BUUU's acquisition on September 15, 2026, of a 60% equity interest in Brightray Science Inc., through which the company operates an AI data center delivery business. BUUU also provides meetings, incentives, conferences, and exhibitions services.
