United Parks & Resorts Inc. (NYSE: PRKS) announced that its stockholders approved a $500 million share repurchase authorization during a special meeting held September 3, 2025.

The Orlando-based theme park company said the share buyback program received approval from a majority of outstanding shares entitled to vote, excluding shares owned by Hill Path and its affiliates. Under the program terms, United Parks cannot repurchase additional shares if Hill Path's ownership interest would reach or exceed 70% as a result.

"With our strong balance sheet and significant free cash flow generation, we are excited to be able to take advantage of what we believe to be a very attractive opportunity to invest in the shares of our own Company via a share repurchase and return capital to our stockholders," said Marc Swanson, chief executive officer.

The company can execute share repurchases through open market purchases, privately-negotiated transactions, or other methods in accordance with federal securities laws, including Rule 10b5-1 trading plans and Rule 10b-18. The program has no time limit and may be suspended or discontinued at any time.

The timing and number of shares purchased will depend on trading windows, available liquidity, market conditions, legal requirements, debt covenant restrictions, and alternative investment opportunities, according to the company statement.

United Parks operates theme parks under brands including SeaWorld, Busch Gardens, Discovery Cove, and Sesame Place across 13 parks in seven markets in the United States and Abu Dhabi.
