SNDL Inc. (NASDAQ: SNDL, CSE: SNDL) received approval from the Canadian Securities Exchange to renew its share repurchase program, the company announced Thursday.

The program authorizes SNDL to repurchase up to C$100 million of its outstanding common shares at prevailing market prices. The company may purchase a maximum of approximately 24.5 million shares, representing 10% of its public float.

The share repurchase program will commence November 21, 2025, and expire November 20, 2026. SNDL may conduct repurchases through open market purchases, privately negotiated transactions, block trades, derivatives, or other structured programs at management's discretion.

The timing, pricing and amount of any transactions will depend on market conditions, regulatory requirements and alternative investment opportunities. The program does not obligate the company to repurchase any minimum number of shares and may be suspended or terminated at any time.

All repurchased shares will be returned to treasury for cancellation. Repurchases will be made through the facilities of Nasdaq, the CSE, or other means permitted under applicable securities laws.

Under its previous share repurchase program, which ran from November 21, 2024, to November 20, 2025, SNDL repurchased 9,478,671 shares.

SNDL operates as a vertically integrated cannabis company and private-sector liquor and cannabis retailer in Canada. The company's retail banners include Ace Liquor, Wine and Beyond, Liquor Depot, Value Buds and Spiritleaf.
