Nexxen seeks authorization for $40 million share repurchase program

Nexxen International Ltd. (NASDAQ: NEXN) announced it is seeking authorization to initiate a new $40 million ordinary share repurchase program that would commence following completion of its current program, according to a company statement.
As an Israeli company, Nexxen must comply with Israeli regulations requiring a 30-day creditor objection period before the new repurchase program can become effective. The program's commencement also requires consent from the company's bank lenders, though Israeli court approval is not needed.
The new repurchase program would not require the company to repurchase a specific number of ordinary shares and may be suspended, modified, or discontinued at any time, subject to applicable law and outside of blackout periods. Any ordinary shares repurchased under the new program will be reclassified as dormant shares under Israeli Companies Law and held in treasury without rights.
As of October 31, 2025, Nexxen had 57,086,122 ordinary shares outstanding, excluding treasury shares, and approximately $13.9 million remaining under its current share repurchase authorization.
The company stated the new repurchase program is intended to capitalize on what it views as an opportunity to acquire its ordinary shares at a discounted valuation, reflecting confidence in its long-term prospects.
Nexxen operates as a global advertising technology platform with expertise in data and advanced TV. The company provides demand-side platform and supply-side platform services, with the Nexxen Data Platform at its core.
The company will provide updates upon commencement of the new repurchase program pending receipt of necessary approvals, or if delays occur due to creditor objections or lack of lender consent.
