Franklin Covey replenishes share buyback program to $50 million

Franklin Covey Co. (NYSE: FC) announced its board of directors approved replenishing the company's share repurchase authorization to $50 million and adopted a Rule 10b5-1 trading plan to facilitate consistent share buybacks.



The organizational performance improvement company had approximately $28 million remaining under its previous $50 million repurchase authorization as of May 31, 2025. Franklin Covey repurchased approximately $17 million of common stock in fiscal year 2025, according to information from its third-quarter earnings call.



"We believe that our current share price does not reflect the value which we expect our business plan to deliver to shareholders in the coming years," said Chief Executive Officer Paul Walker in a statement.



The company may conduct share purchases through open market transactions, privately negotiated deals, or other methods, including through the 10b5-1 trading plan. The repurchase program has no time limit and may be modified, suspended, or discontinued at the company's discretion.



Franklin Covey provides organizational performance solutions through its Enterprise and Education Divisions, operating in over 160 countries and territories through directly owned and licensee partner offices. The company offers content, training, processes, and tools designed to help organizations achieve behavioral changes.



The timing and amount of stock repurchases will depend on business conditions, market factors, stock prices, and other considerations, according to the press release statement.
