Empery Digital repurchases 13.7 million shares under $150 million program
Empery Digital Inc. (NASDAQ: EMPD) has repurchased 13,705,746 shares of its common stock under its $150 million share repurchase program as of December 5, 2025, the company announced.
The shares were purchased at an average price of $6.99 per share, including fees and commissions. Approximately $54 million remains available for future repurchases under the program. Following the repurchases, the company has 37,714,489 shares outstanding, accounting for the potential exercise of 3,913,538 pre-funded warrants.
The share repurchases have been funded through borrowings under the company's $150 million borrowing facilities, of which $100 million has been drawn. Empery Digital stated it views the outstanding debt as an instrument that allows it to observe bitcoin prices with the option to make sales of bitcoin to enhance the arbitrage between its public market value and net asset value.
The company indicated it may fund additional share repurchases or repay outstanding debt with proceeds from potential bitcoin sales or derivative trading activities. Management stated its commitment to increasing bitcoin per share through share repurchases at prices below net asset value.
