Empery Digital amends debt facility, repurchases 15.9 million shares
Empery Digital Inc. (NASDAQ: EMPD) amended its credit facility with Two Prime Lending and reported repurchasing approximately 15.9 million shares under its share buyback program, according to a company statement.
The amendment reduces the initial collateral requirement on outstanding loans and future drawdowns from 250% to 174%, while increasing the interest rate from 6.5% to 7.5%. The company said the changes provide balance sheet flexibility and support efforts to close the net asset value gap.
As of February 10, 2026, Empery Digital repurchased 15,882,992 shares of common stock under its $200 million share repurchase program at an average price of $6.63 per share, including fees and commissions. Following the repurchases, the company has 35,537,243 shares outstanding, accounting for the potential exercise of 870,240 pre-funded warrants.
The reduced collateral requirements free up assets and increase management's flexibility to leverage the balance sheet, including potentially reducing bitcoin holdings to fund future share repurchases and repay other borrowings with higher collateral requirements.
