Couche-Tard renews buyback program for up to 74.2M shares
Alimentation Couche-Tard Inc. (TSX: ATD) has received approval from the Toronto Stock Exchange to renew its share repurchase program, authorizing the purchase of up to 74,194,410 common shares, representing 10% of its public float of 741,944,105 shares as of July 9, 2026.
The program runs for twelve months, commencing July 23, 2026, and ending no later than July 22, 2027. Shares will be purchased at market price through the TSX and alternative Canadian trading systems, as well as outside TSX facilities under regulatory exemption orders. All repurchased shares will be cancelled. The company may purchase up to 367,615 shares on any single trading day, equivalent to 25% of the average daily trading volume of 1,470,463 shares for the six months preceding June 30, 2026.
Under its previous program, which commenced July 23, 2025, Couche-Tard was authorized to repurchase up to 77,115,921 shares. It repurchased 30,342,275 shares for cancellation at a total cost of approximately $1.59 billion, at a weighted average price of approximately US$52.31 or CA$72.60 per share.
As of July 9, 2026, Couche-Tard had 917,962,609 shares issued and outstanding.
Chief Financial Officer Filipe Da Silva said the program reflects the company's focus on disciplined capital allocation and returning capital to shareholders while maintaining flexibility to invest in future growth.
Couche-Tard has also established an automatic share purchase plan with a designated broker to allow repurchases during regulatory restriction periods or self-imposed blackout periods. The plan has been pre-cleared by the TSX.
