Constellium board approves $300 million share buyback program through 2028

Constellium SE (NYSE: CSTM) announced that its board of directors authorized a new share repurchase program worth up to $300 million, according to a company statement released March 12.



The program will become effective following the company's annual general meeting scheduled for May 21, 2026, and will expire on December 31, 2028. The new authorization will replace Constellium's current share repurchase program that was approved by the board in February 2024.



"This new program will replace the existing program and allow us to continue returning capital to our shareholders as part of our balanced capital allocation strategy," said Ingrid Joerg, Constellium's chief executive officer.



Under the program, the company may repurchase shares through open market transactions or privately-negotiated deals, in compliance with applicable securities laws and French corporate law. The company may execute purchases through Rule 10b5-1 plans.



The timing and amount of any repurchases will depend on market conditions, capital allocation alternatives and other factors. The program does not require the company to purchase any specific dollar amount or number of shares and may be modified, suspended or terminated by the board without notice.



To execute the full program, Constellium will continue seeking shareholder approval annually at its general meetings. The company retains the ability to repurchase shares under its current program until the new program takes effect.



The aluminum products manufacturer generated $8.4 billion in revenue in 2025 and serves aerospace, packaging and automotive markets.
