FedEx announces board directors for independent FedEx Freight spin-off

FedEx Corp. (NYSE: FDX) announced the ten-member board of directors for FedEx Freight ahead of its planned spin-off on June 1, 2026.
R. Brad Martin, current executive chairman of the FedEx Corp. board, will serve as chairman of the FedEx Freight board. John Smith, who will become president and chief executive officer of FedEx Freight, will also serve as a director.
The board includes eight additional members with experience across transportation, logistics, finance, and technology sectors. Jeffrey A. Davis previously served as chief financial officer at Dollar Tree, Qurate Retail Group, and other companies. Donald E. Frieson was executive vice president of supply chain at Lowe's Companies and held senior roles at Walmart.
Stephen E. Gorman served as chief executive officer of Air Methods Corporation and held executive positions at Delta Air Lines and Greyhound Lines. Gorman currently serves on the FedEx Corp. board and will resign from that position when joining the FedEx Freight board.
Other board members include Robert A. King, former corporate vice president of internal audit at FedEx Corp.; Cindy J. Miller, former president and chief executive officer of Stericycle; Amy J. Salcido, former president of Kyndryl Holdings; John P. Sauerland, vice president and chief financial officer of The Progressive Corporation; and Samantha M. Smith, staff director of global public policy at FedEx Corp.
Smith is expected to continue her employment at FedEx Corp. following the spin-off.
FedEx Freight operates as North America's largest less-than-truckload carrier with approximately 355 service centers and 39,000 employees. The company will operate independently following the separation from FedEx Corp.
Goldman Sachs & Co. LLC is serving as financial advisor and Skadden, Arps, Slate, Meagher & Flom LLP as legal counsel for the transaction.
