Eaton plans to spin off Mobility Group by first quarter 2027

Eaton Corporation (NYSE: ETN) announced plans to separate its Vehicle and eMobility segments into an independent publicly traded company by the end of the first quarter of 2027.
The Dublin-based power management company said the spinoff will allow it to focus on its Electrical and Aerospace businesses, which it considers higher-growth and higher-margin operations. The separation requires customary regulatory approvals and final board approval, along with effectiveness of a Form 10 registration statement with the Securities and Exchange Commission.
The Mobility Group provides engineered solutions for commercial vehicle, automotive and off-highway original equipment manufacturers. The business holds market positions in commercial truck transmissions and clutches in the Americas, as well as high-voltage electric vehicle fuses and valve actuation technologies globally.
Chief Executive Paulo Ruiz said the separation supports Eaton's 2030 growth strategy and will provide both companies with increased focus on their respective core businesses and tailored capital allocation strategies.
Eaton expects the transaction to be immediately accretive to its organic growth and operating margin upon closing. The planned separation is structured to be tax-free to Eaton shareholders for U.S. federal income tax purposes.
The move follows Eaton's previous divestitures of its Lighting business in 2020 and Hydraulics business in 2021. The company reported revenues of nearly $25 billion in 2024.
Morgan Stanley & Co. LLC serves as financial advisor for the transaction, with Paul, Weiss, Rifkind, Wharton & Garrison LLP and Hogan Lovells providing legal counsel.
