Aebi Schmidt begins trading on NASDAQ after completing Shyft Group merger

Aebi Schmidt Group (NASDAQ: AEBI) completed its merger with The Shyft Group on July 1, 2025, and began trading under the ticker symbol "AEBI" on July 2, 2025.
The Shyft Group's final trading day was June 30, 2025, with shares closing at $12.54. The merger used a share exchange ratio of approximately 1.04, implying a share price of $12.06 for Aebi Schmidt. The combined company's shares closed at $11.18 on the first day of regular trading and at $11.07 on July 11, 2025.
The Switzerland-based specialty vehicles company reported a fully diluted share count of 78.2 million shares following the merger. On an unaudited, proforma basis, the company's net debt as of June 30, 2025, was $503 million, with equity exceeding $700 million, representing an equity ratio of approximately 40%.
CEO Barend Fruithof stated the company remains on track to deliver targeted synergies of $25 to $30 million despite what he described as a dynamic operating environment, including tariff impacts. The combined company generated proforma net sales of $1.9 billion in 2024 and employs over 6,000 people.
Aebi Schmidt will operate under two segments: North America, led by Steffen Schewerda, and Europe and Rest of World, led by Henning Schröder. The company maintains production facilities in both North America and Europe.
The company scheduled its second quarter 2025 earnings conference call for August 14, 2025, at 8:30 A.M. Eastern Time. Fruithof and CFO Marco Portmann will lead the call.
