Sunrise Senior Living, Inc. (NYSE: SRZ) 59.6% HIGHER; Health Care REIT, Inc. (NYSE: HCN) announced a deal to acquire Sunrise Senior Living for $14.50 per share in an all cash transaction.

Key Tronic Corp (NASDAQ: KTCC) 22.0% HIGHER; reported Q4 EPS of $0.35, versus $0.15 reported last year. Revenue for the quarter came in at $96.7 million, versus $66 million reported last year. Sees Q1 2013 EPS of $0.32-0.39. Key Tronic Corp sees Q1 2013 revenue of $94-98 million.

Peregrine Pharmaceuticals, Inc. (Nasdaq: PPHM) 16.1% LOWER; moving lower amid a negative SeekingAlpha article Wednesday.

The Wet Seal, Inc. (NASDAQ: WTSLA) 13.1% LOWER; reported Q2 EPS of ($0.07), in-line with the analyst estimate of ($0.07). Revenue for the quarter came in at $135.3 million versus the consensus estimate of $136.6 million. Sees Q3 2012 EPS of $-0.13--0.14, versus the consensus of $-0.01. The Wet Seal, Inc. sees Q3 2012 revenue of $128-133 million, versus the consensus of $144.4 million. In addition to creating the new Office of the Chairman under Mr. Kahn’s leadership, the Company’s Board of Directors has appointed a Strategic Oversight Committee, comprised of Board members Sidney Horn, Kenneth Reiss and Henry Winterstern, which will be responsible for reviewing and making recommendations to the Board concerning the Company’s capital allocation as well as evaluating potential strategic initiatives to enhance shareholder value.

Qihoo 360 Technology (NYSE: QIHU) 11.3% HIGHER; reported Q2 EPS of $0.17, in-line with the analyst estimate of $0.17. Revenue for the quarter came in at $72.8 million versus the consensus estimate of $72.64 million. Total monthly active users of Qihoo 360's PC-based products and services reached a record 425 million in June 2012, compared to 378 million in June 2011 Sees Q3 2012 revenue of $81-82 million, versus the consensus of $78.15 million.

Ultra Clean Holdings, Inc. (Nasdaq: UCTT) 10.6% LOWER; provided a mid-quarter update for its third quarter ending September 28, 2012. The company is revising its revenue guidance for the third quarter of 2012 to range between $96 million to $101 million. Previously, the company stated that it expected revenue for the third quarter of 2012 to range between $107 million to $112 million, with earnings per share in the range of $0.10 to $0.14. (not changing EPS guidance). Consensus is $0.12 and $109.9M

Williams-Sonoma, Inc. (NYSE: WSM) 10.6% HIGHER; reported Q2 EPS of $0.43, $0.02 better than the analyst estimate of $0.41. Revenue for the quarter came in at $874 million versus the consensus estimate of $864.03 million. Comparable store sales in Q2 12 increased 3.9% versus 1.4% in Q2 11. Also sees FY2012 EPS of $0.43-0.46, versus the consensus of $0.43. Williams-Sonoma, Inc. sees FY2012 revenue of $905-925 million, versus the consensus of $913.4 million. Revenue for the quarter came in at $454.9 million versus the consensus estimate of $467.43 million. Comps up 1%. Sees FY12 EPS of $1.69 - $1.79, from $1.79 - $1.89 prior and the consensus of $1.83. Lowers Q3 EPS outlook to $0.27 - $0.32, versus $0.37 consensus. Sees Q4 EPS $0.77 - $0.82, versus $0.82 consensus.

China Digital TV Holding Co. (NYSE: STV) 9.1% LOWER; reported Q2 EPS of $0.12, versus $0.19 reported last year. Revenue for the quarter came in at $23.8 million, versus $25.11 million reported last year. China Digital TV shipped approximately 3.74 million smart cards in the second quarter of 2012, compared to 4.64 million in the same period in 2011 and 3.70 million in the first quarter of 2012. Sees Q3 2012 revenue of $20.6-22.1 million. Based on information available as of August 21, 2012, China Digital TV expects smart card shipments for the third quarter of 2012 to be in the range of 3.5 million to 3.8 million.
