Ralcorp Holdings, Inc. (NYSE: RAH) 9% LOWER; ConAgra Foods (NYSE: CAG) today reiterated its $94 per share, all-cash proposal to acquire Ralcorp. ConAgra also said it will withdraw its offer for Ralcorp unless official talks begin by Sept. 19th.
Cheniere Energy Partners, L.P. (AMEX: CQP) 6.5% LOWER; today announced that, subject to market conditions, it plans to sell 3,000,000 common units representing limited partner interests in an underwritten public offering pursuant to an effective shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission. Citigroup will act as underwriter of the public offering. The underwriter has been granted a 30-day option to purchase up to 450,000 additional common units.
Dell (Nasdaq: DELL) 2.4% HIGHER; announces additional $5 billion buyback program.
eBay (Nasdaq: EBAY) 2% LOWER; shares are falling after hours Tuesday as Reuters is citing a copy of a San Jose grand jury subpoena which discloses a criminal probe into whether eBay employees misappropriated confidential info from Craigslist. The subpoena was originally issue last week on behalf of the Department of Justice. The DoJ is requesting a number of documents, including some pertaining to eBay Founder and Chairman Pierre Omidyar.
Great Plains Energy (NYSE: GXP) 1.8% LOWER; offered some guidance in slides for an upcoming presentation. The company expects FY11 EPS of $1.10-$1.25, which compares to the Street estimate of $1.25. FY12 EPS are expected to be in the range of $1.35-$1.55, vs. the analyst consensus of $1.49.
Smith & Wesson (Nasdaq: SWHC) INDICATED HIGHER; raised its FY12 sales guidance from $410-$425 million to $415-$430 million. The Street is currently looking for FY12 sales of $420.7 million.
