Iron Horse completes merger with China Food Investment parent
Iron Horse Acquisitions Corp. (NASDAQ: IROH) announced the completion of its business combination with Rosey Sea Holdings Limited, the parent company of Zhong Guo Liang Tou Group Limited, which operates as China Food Investment.
The combined company will operate under the name CN Healthy Food Tech Group Corp. and begin trading on Nasdaq under ticker symbols "UCFI" and "UCFIW" on October 1, 2025, according to the company's statement. Iron Horse shareholders approved the business combination at a special meeting on June 20, 2025.
Iron Horse was a Delaware-based special purpose acquisition company formed to complete mergers or acquisitions with other businesses. China Food Investment describes itself as an enterprise focused on research, development, production and sales of food biotech and health products.
"We are pleased to announce the successful completion of our merger, marking a significant step forward in bringing value for our shareholders," representatives of China Food Investment stated in the announcement.
Jose A. Bengochea, CEO of Iron Horse, said the transaction represents a milestone for the company. "I want to thank the entire Iron Horse family who stood by us and worked together endlessly to bring this transaction to market and enhance value for all our shareholders," Bengochea stated.
The announcement comes as part of the ongoing trend of special purpose acquisition companies completing business combinations with operating companies to facilitate public listings.
