EXPLANATORY NOTE

 

This Post-Effective Amendment No. 1 to the following registration statement on Form S-3 (the “Prior Registration Statement”) is being filed by BankFinancial Corporation (the “Company”) to terminate all offerings under the Prior Registration Statement and to deregister any and all shares of the Company’s common stock, par value $0.01 per share (the “Shares”) registered but unsold as of the date hereof thereunder:

 

Registration Statement on Form S-3, File No. 333-135887, filed with the Securities and Exchange Commission on July 20, 2006, registering securities of the Company for a maximum aggregate offering price of up to $6,592,000.

 

On January 1, 2026, pursuant to the Agreement and Plan of Merger, dated as of August 11, 2025, by and between First Financial Bancorp., an Ohio corporation (“First Financial”), and the Company, the Company merged with and into First Financial, with First Financial as the surviving corporation (the “Merger”).

 

In connection with the Merger, the Company has terminated all offerings of the Company’s securities pursuant to the Prior Registration Statement. Accordingly, pursuant to the undertakings made by the Company in the Prior Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities that remain unsold at the termination of the offerings, this Post-Effective Amendment No. 1 hereby removes from registration all of such securities registered under the Prior Registration Statement that remain unsold as of the date of this Post-Effective Amendment No. 1.
