The proposal is to approve and Agreement and Plan of Reorganization between the Fund and John Hancock Small Cap Core Fund. Under the Agreement, the Fund will transfer all of its assets to the Small Cap Core Fund. Those shares will be distributed proportionately to shareholders of the Small Cap Value Fund. The two funds have the same investment objective: to see long-term capital appreciation. The Reorganization is not expected to result in any change to the investment objective or principal investment policies.
