Explanatory Note
This Amendment No. 1 on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Lattice Semiconductor Corporation (the “Company”) with the Securities and Exchange Commission on October 22, 2026 (the “Original Report”). The Original Report disclosed, among other matters, the appointment of John McCool and Raejeanne Skillern to the Company’s Board of Directors (the “Board”), effective October 21, 2026, and stated that the Board had not yet determined the committees of the Board to which Mr. McCool and Ms. Skillern would be appointed.
This Amendment is being filed to disclose those committee appointments pursuant to Item 5.02(d) of Form 8-K. Except as set forth herein, no other changes have been made to the Original Report, and this Amendment does not modify or update any other disclosure contained in the Original Report.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 29, 2026, the Board appointed Ms. Skillern to serve as a member of the Audit Committee of the Board and Mr. McCool to serve as a member of the Compensation Committee of the Board, in each case effective October 29, 2026.
As previously disclosed in the Original Report, the Board determined that each of Mr. McCool and Ms. Skillern is independent under the applicable listing standards of The Nasdaq Stock Market LLC. The Board has further determined that Ms. Skillern satisfies the additional independence requirements applicable to audit committee members under Nasdaq Listing Rule 5605(c)(2) and Rule 10A-3 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and that Mr. McCool satisfies the additional independence requirements applicable to compensation committee members under Nasdaq Listing Rule 5605(d)(2) and Rule 10C-1 under the Exchange Act.
In connection with their committee service, each of Mr. McCool and Ms. Skillern will be entitled to the Company’s customary additional annual cash retainer for non-employee directors serving as a member of the Compensation Committee or the Audit Committee, as applicable, which is currently $10,000 per year. Other than such committee retainers, no new compensatory arrangements were entered into in connection with these committee appointments, and the compensatory arrangements described in the Original Report remain unchanged.
