On April 13, 2023, Wells Fargo & Company (the “Company”) announced that effective May 15, 2023, Saul Van Beurden will become CEO of Consumer & Small Business Banking, succeeding Mary T. Mack, who is retiring.

The Company’s news release announcing Mr. Van Beurden’s appointment and Ms. Mack’s retirement is attached to this report as Exhibit 99.1 and is incorporated by reference into this Item 5.02.
