Item 2.02 Results of Operations and Financial Condition.

On July 28, 2026, Visa Inc. (the "Company") issued an earnings release announcing financial results for the Company's fiscal third quarter ended June 30, 2026.

A copy of the earnings release is attached hereto as Exhibit 99.1. All information in the earnings release is furnished but not filed.

On July 28, 2026, the Company will host a conference call to discuss its fiscal third quarter ended June 30, 2026 financial results.

On July 28, 2026, the Company’s board of directors declared a quarterly cash dividend in the amount of $0.670 per share of class A common stock (determined in the case of all other outstanding common and preferred stock on an as-converted basis), payable on September 1, 2026, to all holders of record as of August 11, 2026.
