Item 4.01. Changes in Registrant’s Certifying Accountant 

 

On November 14, 2025, PricewaterhouseCoopers (“PwC”) resigned as the independent registered public accounting firm of Universal Biosensors, Inc. (the “Company”). A new independent accountant has not been engaged as the Company is ceasing operations, has entered into receivership, and intends to promptly deregister its securities.

 

 

PwC’s report on the Company’s financial statements as of and for the fiscal years ended December 31, 2024 and 2023 did not contain any adverse opinion or disclaimer of opinion, nor was it qualified or modified as to uncertainty, audit scope, or accounting principles, except that PwC’s report for the fiscal year ended December 31, 2024 included an explanatory paragraph indicating that there was substantial doubt about the Company’s ability to continue as a going concern.

 

During the fiscal years ended December 31, 2024 and 2023 and the subsequent interim period through November 14, 2025, there were (i) no “disagreements” (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) between the Company and PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of PwC, would have caused PwC to make reference to the subject matter of the disagreement in its reports on the Company’s consolidated financial statements and (ii) no “reportable events” (as that term is defined in Item 304(a)(1)(v) of Regulation S-K and the related instructions).

 

The Company provided PwC with a copy of this Current Report on Form 8-K and requested that PwC furnish to the Company a letter addressed to the United States Securities and Exchange Commission (“SEC”) stating whether or not PwC agrees with the above statements and, if not, stating the respects in which it does not agree. A copy of PwC’s letter to the SEC, dated November 14, 2025, is attached as Exhibit 16.1 to this Current Report on Form 8-K.
