Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 11, 2025, Mr. J. Eric Evans notified Teladoc Health, Inc. (the “Company”) of his intention not to stand for reelection at the Company’s 2026 Annual Meeting of Stockholders (the “Annual Meeting”) and to retire from the Board effective as of the conclusion of the Annual Meeting. Mr. Evans has been a director of the Company since 2023 and the Company thanks him for his dedicated service. Mr. Evans has indicated that he is retiring from the Board for personal reasons and not because of any disagreement with the Company on any matter.
