Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 22, 2026, the Board of Directors (the “Board”) of Stitch Fix, Inc. (the “Company”) approved amendments to the Company’s Amended and Restated Bylaws (the “Bylaws”), which became effective the same day. Among other things, the amendments: (i) update the disclosure requirements relating to any nominees for election to the Board, any other proposed business, and the stockholder proposing the nomination or proposal, any beneficial owner on whose behalf the nomination or proposal is made, and their affiliates and associates, to reflect developments in Delaware case law; and (ii) make certain other technical, modernizing, conforming, and clarifying changes.
