Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 16, 2026, Steven Ciardiello notified Shutterstock, Inc. (the “Company”) of his decision to resign as Chief Accounting Officer of the Company, effective August 28, 2026 following a transition period. Mr. Ciardiello’s resignation was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Company is conducting a search for a successor.

Other Events.

On July 22, 2026, the Company issued a press release announcing that at a meeting held on July 20, 2026 its Board of Directors resolved to suspend the Company's future quarterly cash dividend. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
