(b) Charles E. Peters, Jr., Chief Financial Officer of Red Hat, Inc. (the �Company�), notified the Company on December�16, 2014 of his decision to retire as an employee and Chief Financial Officer in the next 12 months, assuming a suitable successor has been determined by the Company and a transition to that successor has been completed.�Mr.�Peters has served the Company as its Chief Financial Officer for over 10 years.

The Company has selected a national search firm to assist in the search and will consider internal and external candidates.
